Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of Lumi’s websites, applications, and related services (the “Services”) offered by Lumi (“we,” “us”). By creating an account, accessing, or using the Services, you agree to these Terms. If you use the Services on behalf of a company, you represent that you have authority to bind that organization.

2. The Services

Lumi provides tools for photography businesses to organize events, upload photo libraries, generate guest-facing links or QR experiences, and help guests retrieve photos in which they appear using automated similarity techniques (including analysis derived from facial characteristics in images). Features, limits, and availability may depend on your subscription plan.

We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable. We are not responsible for third-party services, guest devices, or internet connectivity.

3. Accounts & eligibility

You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your account. You must be of legal age to contract in your jurisdiction. We may refuse or terminate accounts that violate these Terms or create risk for other users.

Our legal bases for processing include contractual necessity (to provide the Services to photographers) and explicit consent (for the processing of biometric-related face vectors), which is obtained at the point of data collection.

4. Customer content & license

You retain ownership of photographs, guest media, and other materials you upload (“ Customer Content”). You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Services for you and your guests— including creating and comparing technical representations needed for similarity search within your workspaces.

You represent that you have all rights and, where required, consents or lawful bases to upload Customer Content and to offer the guest experience (including processing of biometric-related data) in compliance with applicable laws. You will not upload unlawful, infringing, or harmful content.

5. Acceptable use

You agree not to:

  • Misuse the Services to violate privacy, harass individuals, or conduct surveillance outside legitimate event delivery.
  • Attempt to reverse engineer, scrape, overload, or circumvent security or usage limits.
  • Use outputs to build standalone biometric databases for unrelated identification services without legal basis.
  • Resell or sublicense the Services except as expressly permitted in writing.
  • Perform excessive automated actions (including uploads, downloads, or API-like access) that degrade the Services for others. We may throttle, rate-limit, queue, or temporarily restrict processing to protect platform stability.

6. Subscriptions, trials, and fees

Paid plans, trials, renewals, and payment terms are presented at checkout or in your workspace billing area. Fees are non-refundable except where required by law or stated otherwise. We may change pricing with advance notice. Taxes may apply. Failure to pay may result in suspension or termination of access.

Plans may include usage limits (for example, number of events, storage, processing volume, or guest requests). If you exceed limits, we may apply overage fees, require an upgrade, or throttle processing until the next billing cycle, as shown in-product or at checkout.

7. Intellectual property

Lumi’s software, branding, documentation, and non-customer content are our intellectual property or our licensors’. Except for the limited rights to use the Services under these Terms, no rights are granted.

8. Confidentiality & privacy

Our Privacy Policy describes how we handle personal data. Processing on behalf of your workspace may be covered by our Data Processing Agreement where applicable, including when you require a signed controller-processor agreement for compliance.

Unless we agree otherwise in writing, our standard Data Processing Agreement is incorporated into these Terms by reference for customers who use the Services as controllers subject to applicable data protection laws. By accepting these Terms, you also agree to that DPA where it applies to your use of the Services.

Biometric-related processing. To provide face-similarity matching, we may derive technical representations of faces (e.g., vectors/embeddings) from images you upload and from guest selfies submitted in the guest flow. These representations are used only to operate matching within your workspace/event scope and to secure and improve the matching feature.

Retention. Unless you delete content sooner, we are designed to delete biometric-related vectors/embeddings associated with an event within 30 days after the event is marked ended/archived (or its processing window ends), and to delete or de-identify such vectors upon account termination within 30 days, except where longer retention is required by law, needed for security, fraud prevention, or dispute resolution, or where you have contractually agreed otherwise.

Lumi does not “sell” personal information as that term is defined under the California Consumer Privacy Act (CCPA/CPRA). We do not share biometric-related data with third parties for their own marketing purposes.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MATCHING WILL BE ERROR-FREE OR THAT EVERY PHOTO OF A GUEST WILL BE FOUND. PHOTOGRAPHERS REMAIN RESPONSIBLE FOR FINAL DELIVERY AND CLIENT RELATIONSHIPS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD (OR, IF NONE, ONE HUNDRED U.S. DOLLARS). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

11. Indemnity

You will defend and indemnify Lumi and its affiliates against claims, damages, and expenses (including reasonable attorneys’ fees) arising from Customer Content, your use of the Services in breach of these Terms, or your violation of law or third-party rights.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk, non-payment, or legal requirements. Provisions that by nature should survive (e.g., licenses to the extent needed to wind down, disclaimers, limitations, indemnity) will survive termination.

13. Governing law & disputes

These Terms are governed by the laws of the Kingdom of Morocco, excluding conflict-of-law rules. The competent courts of Marrakech shall have exclusive jurisdiction, unless mandatory consumer protection rules provide otherwise.
